COMPENSATION COMMITTEE
AUGUST 5, 2022 | MINUTES

A meeting of the Compensation Committee of the Board of Trustees convened at 9:47 a.m. on Friday, August 5, 2022, at Purdue University Fort Wayne. The meeting was held in the International Ballroom within the Walb Student Union.

Committee members present were: Malcolm DeKryger, chair; Michael Klipsch; and Gary Lehman. All other trustees were present: Sonny Beck; Michael Berghoff; JoAnn Brouillette; Theresa Carter; Vanessa Castagna; Mark Gee and Shawn Taylor.

Officers and administrators in attendance were: Mitch Daniels, president; Jay Akridge, provost and executive vice president for academic affairs and diversity; Chris Ruhl, chief financial officer and treasurer; Eva Nodine, vice president and assistant treasurer; Steve Schultz, general counsel; Cindy Ream, corporate secretary and senior executive assistant to the Board; Ron Elsenbaumer, chancellor of Purdue University Fort Wayne; and Tom Keon, chancellor, Purdue University Northwest.

I. APPROVAL OF CONTRACT AMENDMENT MEN’S BASKETBALL COACH

Trustee DeKryger noted the other Committee members as Mike Klipsch and Gary Lehman and stated there was one item for the Committee which was an amendment to Coach Matt Painter’s contract. He noted that Coach Painter has been at Purdue for 17 years and cited a few of the successes under his leadership, noting in particular a 67% winning record. He informed the committee that Mr. Mike Bobinski, vice president and director of Intercollegiate Athletics, had requested the Committee to consider changes and updates to Coach Painter’s contract. He shared that this would be the sixth amendment and highlighted the proposed changes. Trustee Klipsch complimented Coach Painter on the positive manner in which the process was handled.

Upon proper motion duly made and seconded, the Compensation Committee voted unanimously to request full Board approval of the contract terms. Supporting materials were filed with the minutes.

By consent, the meeting adjourned at 9:51 a.m.
