A meeting of the Compensation Committee of the Board of Trustees convened at 10:59 a.m. on Friday, April 8, 2022, in Room 326 of Stewart Center on the campus of Purdue University in West Lafayette, Indiana.

All committee members were present: Malcolm DeKryger, chair; Michael Klipsch; Gary Lehman; and Don Thompson. All other trustees were present: Sonny Beck; Michael Berghoff; JoAnn Brouillette; Theresa Carter; Vanessa Castagna; and Mark Gee.

Officers and administrators in attendance were: Mitch Daniels, president; Jay Akridge, provost and executive vice president for academic affairs and diversity; Chris Ruhl, chief financial officer and treasurer; Steve Schultz, general counsel; Janice Indrutz, corporate secretary and senior executive assistant to the Board; Ron Elsenbaumer, chancellor, Purdue Fort Wayne (virtually); and Tom Keon, chancellor, Purdue Northwest.

I. ADOPTION OF CONTRACT AMENDMENTS FOR HEAD FOOTBALL COACH

Trustee DeKryger informed the Board that Mr. Mike Bobinksi, vice president and director of Intercollegiate Athletics, had proposed a contract extension for Mr. Jeff Brohm, head football coach, given the success of the football team last year. In a memo to the Committee from General Counsel Schultz, he stated, “Highlights of the proposed changes include an extension of the contract term through December 2027, along with a $100,000 annual increase in guaranteed compensation ($4.9 million in 2026 and $5 million in 2027). The proposal also includes a new compensation opportunity in the form of a longevity bonus, together with an increase in the annual compensation pool for assistant coaches/support staff…” Trustee DeKryger expressed his appreciation for the way in which Coach Brohm had run the football program, and he asked Mr. Bobinksi to comment. Mr. Bobinksi said he had observed a dramatic change in the football program under Coach Brohm’s leadership, with Coach Brohm clearly building a foundation for the future. He informed the Committee that Ross-Ade Stadium operated at 98% capacity last season, which, he said, was a remarkable change in attendance and momentum. He expressed his belief that Coach Brohm’s contract was very competitive and demonstrated the university’s confidence in Coach Brohm.

In response to a question from Trustee Klipsch, Mr. Bobinski said Coach Brohm’s contract would place him in the middle of the Big Ten relative to compensation. Trustee Klipsch also remarked that it was an appropriate time to extend the contract to alleviate concerns of future prospective student-athletes. Upon proper motion duly made and seconded, the Compensation Committee voted unanimously to approve the amendments to Coach Brohm’s contract. A supporting document was filed with the minutes.
